1. Overview

These Terms govern your use of applications provided by Rapi LLC, a company registered in Sharjah, United Arab Emirates (“Rapi”, “we”, “us”).

Rapi provides Shopify applications designed to increase store performance, including bundles, upsells, tracking, and related tools.

By installing or using any Rapi app, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and operate a legitimate business to use Rapi Apps.

3. License & Intellectual Property

Rapi grants you a limited, non-exclusive, non-transferable, revocable license to use the apps.

You may not:

• Copy, reproduce, or modify any part of the apps

• Reverse engineer or attempt to extract source code

• Use the apps to build, train, or improve a competing product

• Resell, sublicense, or redistribute the apps

• Use Rapi’s features, logic, or UX patterns to replicate similar software

All rights, title, and interest in the apps remain exclusively owned by Rapi.

Any violation will result in immediate termination and may lead to legal action.

4. Use of the Apps

You agree to comply with all applicable laws and Shopify policies.

You may not:

• Use the apps for fraud, scams, or misleading offers

• Manipulate users (including deceptive UI such as reversed buttons in upsells)

• Sell illegal or restricted products

• Violate Shopify’s Terms of Service

• Abuse post-purchase flows in a deceptive way

We may suspend or terminate access at any time, without notice or explanation.

5. Pricing & Billing

Pricing is displayed within Shopify and may change at any time.

All payments are processed through Shopify.

All sales are final. Refunds are not guaranteed and are issued at our sole discretion.

6. Data & Communications

By using Rapi Apps, you agree that:

• We may collect and process store data, order data, and usage data

• We may store merchant contact information (including email)

• We may send product updates, operational emails, and communications

Tracking may occur via browser-side and server-side technologies.

You are solely responsible for compliance with data protection laws applicable to your business.

7. Performance Disclaimer

Rapi Apps are tools.

We do not guarantee:

• Revenue increases

• Conversion improvements

• Any specific results

All examples, numbers, and case studies are illustrative only.

8. Case Studies & Marketing Usage

By using Rapi Apps, you grant Rapi a worldwide, irrevocable, perpetual, royalty-free license to:

• Use your store name, brand, and logo

• Use performance data (including revenue, AOV, conversion rates, and metrics)

• Create, publish, and distribute case studies and marketing materials

This includes:

• Use with or without anonymization

• Publication without notice or approval

• Commercial use across any channel

You waive any rights or claims related to this usage.

9. Limitation of Liability

To the maximum extent permitted by law:

Rapi shall not be liable for:

• Loss of profits, revenue, or data

• Business interruption

• Indirect, incidental, or consequential damages

Total liability is strictly limited to the amount paid by you in the last 30 days.

10. Indemnification

You agree to indemnify and hold harmless Rapi from any claims, damages, or liabilities arising from:

• Your use of the apps

• Your business operations

• Your violation of these Terms or Shopify policies

11. Suspension & Termination

We may suspend or terminate your access at any time, without notice, for any reason.

No compensation or refund will be required.

12. Dispute Resolution (Arbitration)

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively through binding arbitration in Sharjah, United Arab Emirates.

• You waive your right to bring claims in court

• You waive your right to participate in class actions or group claims

• Arbitration will be conducted on an individual basis only

This clause survives termination of your use of the apps.

13. Governing Law

These Terms are governed by the laws of Sharjah, United Arab Emirates.

14. Changes

We may update these Terms at any time.

Continued use of the apps constitutes acceptance of the updated Terms.
